In exchange for the orchestration and connectivity that Symphony communities bring to all three categories above, Symphony contractually secures payment/value for itself and other parties who participated in the process. Symphony provides a platform and an experience wherein its participants can maximize their key business Relationships in a culture of creativity, continuity and profit.
THE PROBLEM SYMPHONY SOLVES
The basic problem addressed by the Symphony system is that of “free-riding”. Economists use the term free-riding to explain what happens when the owner of a valuable resource loses the ability to profit from this resource once it is offered to the public. As an
example: many businesses could be turned around given the right contacts, such as the names of investors, buyers, or executives with needed skills. However, the very act of providing a contact’s name destroys the ability of the person who had the contact to profit from his knowledge. The same can be said of other types of expertise.
The free-rider problem identified by Symphony occurs because of gaps in the types of intellectual property recognized by the common law. Specifically, names of contacts and non-patentable types of expertise are not legal “property”. It follows – in our example above – that the recipient of the name of a business contact, now possessed of the right pages in the rolodex, cannot be prevented from exploiting his new information. And the person who originated the connection is left without recourse.
A person who lacks the ability to profit from his contacts and expertise has no incentive to share such knowledge with third parties, even where the third parties stand to benefit greatly. Because of the free-rider problem, many potentially successful businesses never get off the ground – the necessary actors having no incentive to participate.
This is where the Symphony system comes into play. Symphony is a contractual
framework that circumvents the free-rider problem. The Symphony system creates contractual rights that substitute for types of property missing from the common law.
The Symphony system is not confined to, and cannot be said to operate within, a specific industry. The system is instead a framework that permits skilled persons from any industry to combine, and exploit for profit, their knowledge and abilities in ways not possible under traditional business models.
Symphony creates value by offering this framework to persons possessed of resources and expertise, on the one hand, and to those needing resources and expertise, on the other. Symphony also provides the nexus where players are brought together. For its services, and as a general rule, Symphony receives a share of the resulting business relationships and transactions.
